Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the NeuroSphere platform (“Service”), operated by NeuroSphere (“we”, “us”). By signing up for an account or connecting a Facebook Page, Google Calendar, or other integration, you agree to be bound by these Terms.

1. The Service

NeuroSphere is a multi-tenant AI voice calling platform that places outbound calls in Arabic to leads submitted to your business via connected channels (Meta Lead Ads, CSV upload, manual entry). The Service books appointments to your calendar, transcribes calls, and surfaces analytics in your dashboard.

2. Eligibility

You must be at least 18 years old and authorized to bind the business you represent. You are responsible for ensuring that the Facebook Pages, calendars, and phone numbers you connect to NeuroSphere are owned or controlled by your business.

3. Your Responsibilities

• Comply with all applicable laws, including telemarketing, consumer-protection, and data-protection laws in the markets where you operate (Egypt Law 151/2020, UAE PDPL, EU GDPR, and any other jurisdiction your leads reside in).
• Only call leads who have given prior consent (e.g. by submitting a Lead Ad form that discloses they will be contacted by phone). Cold calling without consent is prohibited.
• Honor opt-out requests immediately. Update lead status in the dashboard so the agent stops calling.
• Keep your account credentials secure. You are responsible for all activity that occurs under your account.
• Do not use the Service for fraudulent, harassing, deceptive, or illegal purposes.

4. Meta Platform Terms

When you connect a Facebook Page, you also agree to comply with Meta’s Platform Terms and Developer Policies. You authorize NeuroSphere to receive lead data submitted to your connected pages, subscribe your pages to webhook events, and store the resulting access tokens in encrypted form solely for the purpose of delivering the Service.

5. Billing

Paid plans are billed monthly in advance. Usage in excess of your plan’s monthly call cap is either blocked or billed at a published overage rate, depending on your plan. Fees are non-refundable except where required by law. We may change pricing with 30 days’ notice.

6. Acceptable Use

You may not, and will not permit any third party to:

• Reverse-engineer, decompile, or attempt to extract source code from the Service.
• Resell, sublicense, or otherwise commercially redistribute the Service without our written consent.
• Use the Service to send spam, phishing, scams, or any unsolicited content.
• Upload lead lists you do not have lawful permission to contact (purchased lists, scraped data, etc.).
• Interfere with the security or integrity of the Service or other tenants’ data.

7. Intellectual Property

NeuroSphere retains all rights to the platform, software, and the Nour AI agent. You retain all rights to your business data, lead records, recordings, and transcripts. You grant us a limited license to process your data solely to operate the Service.

8. Termination

You may close your account at any time from Settings or by emailing support. We may suspend or terminate accounts that violate these Terms, abuse the Service, or fail to pay. On termination, we delete your data within 30 days, subject to legal retention requirements.

9. Disclaimers

The Service is provided “as is” without warranty of any kind. We do not guarantee that calls will always connect, that AI-generated transcripts will be error-free, or that the Service will be uninterrupted.

10. Limitation of Liability

To the maximum extent permitted by law, NeuroSphere’s total liability for any claim arising from or related to the Service is limited to the fees you paid in the three months preceding the claim. We are not liable for indirect, incidental, or consequential damages.

11. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated by email or in-app notice at least 14 days before they take effect. Continued use of the Service after the effective date constitutes acceptance.

12. Governing Law

These Terms are governed by the laws of the Arab Republic of Egypt. Any disputes will be resolved in the competent courts of Cairo, without prejudice to mandatory consumer protections in your country of residence.
